Route 66 Cruiser Meeting Minutes

Pizza Hut – October 1, 2017

Dwayne Caldwell called the meeting to order at 5:00 p.m.  Jerry Henry led the Pledge of Allegiance and opening prayer.

The owner of Patchwork Pup Custom Embroidery passed out t-shirts and asked that we consider them when we need patches, t-shirts or any custom embroidering.

Debbi Bennett read the minutes.  A motion to accept as read was made by Nick Carter and seconded Delbert Tygart. No one opposed and the motion was accepted. 

The Treasurer’s report was given by Anita Moorehead.  A motion to accept as read was made by Nick Carter and seconded by Jerry Henry.  No one opposed and the motion was accepted. 

Ken Metzinger changed the date to mark off the Swap Meet to Tuesday, October 3rd due to heavy rain predicted on scheduled date.

In preparation for the vote on the motion by Chris Christmann that the club reimburse the Caldwells their legal expenses Dwayne introduced Alex Hammack, the attorney who created the Club’s 501 (c)(3) documentation.  He presented his opinion that the 501 (c)(3) status would not be compromised by reimbursing the Caldwell’s attorney fees.  There was further discussion regarding if the lawsuit was personal act and not in regard to the club.  A question was raised that if the 501 (c)(3) was found in violation of the bylaws would members of the club be in legal jeopardy. Alex Hammack responded with the 501 (c)(3) status could be lost.  Dick McGuire was concerned that the Board of Directors and/or club members could be liable for any taxes incurred by the reimbursement. Alex Hammack said the club would need to get an opinion of a tax attorney to verify any liability. There were concerns by members that we need to stand with the President and take whatever the consequences.  Other issues addressed were the dollar amount of the attorney fees and that less money would be going to our charities.

The discussion was closed by the President and the motion by Chris Christmann for the Club to reimburse the Caldwells for their lawyer expenses with the money from the actual revenue the club generates - such as registration, water sales and vendor rentals was voted on by secret ballot.

The votes were read aloud by Jerry Henry, Sergeant of Arms.  There were 16 yes votes and 18 no votes.  The motion did not pass.

Dwayne Caldwell announced that he would resign the presidency, but then stated he would stay until the end of his term. 

Jerry Henry motioned to adjourn and Delbert Tygart seconded.  The motion carried and the meeting adjourned at 6:00 p.m.
